You must be at least 18 years old to use the Website or submit a request through it. If you use the Website on behalf of an organization, you confirm that you are authorized to act for it, and “you” includes that organization.

Use the Website lawfully and in good faith. You must not: (a) break any law or infringe anyone’s rights; (b) try to gain unauthorized access to the Website or the systems behind it, or probe, scan or test their vulnerabilities; (c) upload malware or anything designed to disrupt or overload the Website; (d) submit false, misleading or automated requests through our forms, or impersonate anyone; (e) scrape, crawl or copy the Website’s content in bulk, including to build datasets or train AI models, except for ordinary search-engine indexing; or (f) use the Website to send spam or unsolicited communications.

We may restrict or block access to anyone who breaches these Terms.

Requesting early access is free and does not create any obligation on you or on us. Places are limited, and we decide at our discretion whom to contact and whom to invite. Please make sure the information you submit is accurate and that you are allowed to share it.

Nothing on the Website, and no conversation that follows a request, is a binding offer. A pilot or any other service starts only when both parties sign a written agreement.

Governed AI is in development. Descriptions of its features, architecture, availability, timelines and roadmap describe our current plans, which may change. They are not promises of future functionality, and you should not rely on them when deciding to buy anything.

Nothing on the Website is an offer to sell, or a solicitation of an offer to buy, any securities, or investment, legal, financial or professional advice.

The Website and its content, including text, graphics, software and design, belong to Sphaera Nova or its licensors and are protected by intellectual property laws. You may view and print pages for your own personal or internal business reference. Any other use requires our prior written permission.

“Sphaera Nova”, “Confidely”, our logos and our product names are our trademarks. You may not use them in a way that suggests endorsement or causes confusion. Photographs on the Website are licensed stock imagery and may not be reused. App Store is a service mark of Apple Inc.

If you send us ideas, suggestions or feedback, we may use them without restriction or payment. We will not identify you publicly as their source without your permission.

The Website links to services we do not control, such as the App Store and our scheduling provider. Their terms and privacy policies apply to your use of them, and we are not responsible for their content or practices.

The Website is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Website will be uninterrupted, error-free or free of harmful components.

To the fullest extent permitted by law, Sphaera Nova and its directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to the Website. Our total liability for all claims relating to the Website is limited to US$100.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, gross negligence, wilful misconduct, or death or personal injury caused by negligence.

If you use the Website for business purposes, you will indemnify Sphaera Nova against third-party claims, and related reasonable costs, arising from your breach of these Terms or your misuse of the Website.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from these Terms or the Website.

If you are a consumer, you keep the protection of the mandatory laws of the country where you live, and you may also bring proceedings in its courts.

We may update these Terms from time to time. The current version is always published on this page with its “last updated” date. Changes apply from the date they are published. Continuing to use the Website afterwards means you accept the updated Terms.

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these Terms. We may transfer ours as part of a merger, acquisition or sale of assets. These Terms are the entire agreement between you and us about the Website. If they are translated, the English version prevails.
